Acceptance of Terms
By accessing our website or engaging our Site Reliability Engineering (SRE) consulting services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.
Services Description
AUTI SOFTWARE provides professional SRE consulting services including:
- CI/CD pipeline development and automation
- Infrastructure as Code (IaC) implementation
- Cloud cost optimization strategies
- Site reliability engineering consulting
- DevOps transformation guidance
- Monitoring and alerting system setup
Service Agreement
Scope of Work
- All services will be clearly defined in a separate Statement of Work (SOW)
- Project deliverables, timelines, and milestones will be documented
- Any changes to the scope require written agreement from both parties
Professional Standards
- We maintain professional standards in accordance with industry best practices
- Our consultants hold relevant certifications and experience
- We follow security protocols for handling client infrastructure
Client Responsibilities
Information Provision
- Provide accurate and complete information about your infrastructure
- Grant necessary access to systems and platforms as required
- Designate authorized personnel for project communication
Cooperation
- Participate in scheduled meetings and reviews
- Provide timely feedback on deliverables
- Ensure availability of key stakeholders during project phases
Security and Compliance
- Maintain appropriate security measures for shared access
- Comply with your organization’s security policies
- Inform us of any compliance requirements relevant to the project
Payment Terms
Fees and Billing
- Consulting fees will be specified in the project agreement
- Payment terms are typically Net 30 days from invoice date
- Late payments may incur interest charges as permitted by law
Expenses
- Pre-approved expenses will be reimbursed at cost
- Cloud infrastructure costs are typically billed directly to client
- Travel expenses (if applicable) will be discussed separately
Intellectual Property
Client IP
- Client retains ownership of existing intellectual property
- We respect and protect client proprietary information
- Client owns custom code developed specifically for their infrastructure
AUTI SOFTWARE IP
- We retain ownership of our methodologies, frameworks, and general knowledge
- Pre-existing tools and templates remain our property
- Industry best practices and general knowledge are not considered client IP
Work Product
- Custom configurations and implementations become client property
- Documentation specific to client infrastructure belongs to client
- Generic templates and reusable components may be retained by AUTI SOFTWARE
Confidentiality
Non-Disclosure
- We maintain strict confidentiality of all client information
- Access to client systems is limited to authorized personnel only
- We implement appropriate technical and organizational measures for data protection
Duration
- Confidentiality obligations survive termination of the agreement
- Confidential information remains protected indefinitely
- Standard exceptions apply for publicly available information
Limitation of Liability
Service Delivery
- We strive to deliver high-quality services but cannot guarantee specific business outcomes
- Our liability is limited to the fees paid for the specific service in question
- We are not liable for indirect, consequential, or incidental damages
System Changes
- Client is responsible for testing all implementations in non-production environments
- We recommend backup procedures before any system modifications
- Client assumes responsibility for production deployments
Warranties and Disclaimers
Service Warranty
- We warrant that services will be performed in a professional manner
- We will remedy any material non-conformance at no additional cost
- This warranty is limited to a period of 30 days from service completion
Disclaimer
- Services are provided “as is” without additional warranties
- We disclaim all implied warranties of merchantability and fitness
- No warranty is made regarding uninterrupted or error-free operation
Termination
Termination Rights
- Either party may terminate with 30 days written notice
- Immediate termination is allowed for material breach
- Outstanding invoices remain due upon termination
Effect of Termination
- Client retains all work product delivered prior to termination
- Confidentiality obligations survive termination
- Access to client systems will be promptly revoked
Indemnification
Client Indemnification
- Client indemnifies AUTI SOFTWARE against claims arising from client’s use of deliverables
- Client is responsible for compliance with their industry regulations
- Client assumes responsibility for their data and system security
Mutual Indemnification
- Each party indemnifies the other against claims arising from their negligent acts
- Indemnification is subject to prompt notice and cooperation
- Indemnifying party controls defense of claims
Governing Law
Jurisdiction
- These terms are governed by the laws of India
- Disputes will be resolved in courts of competent jurisdiction in India
- Parties consent to jurisdiction of Indian courts
Dispute Resolution
- Parties will attempt good faith resolution of disputes
- Mediation may be pursued before litigation
- Arbitration may be agreed upon for specific disputes
General Provisions
Force Majeure
- Neither party is liable for delays due to circumstances beyond reasonable control
- Force majeure includes natural disasters, government actions, and network failures
- Parties will work together to minimize impact of force majeure events
Modifications
- These terms may only be modified in writing
- Electronic acceptance of updated terms is acceptable
- Continued use of services constitutes acceptance of modifications
Severability
- Invalid provisions do not affect validity of remaining terms
- Courts may modify terms to make them enforceable
- Essential terms remain binding even if non-essential terms are invalid
Entire Agreement
- These terms, along with the SOW, constitute the entire agreement
- Previous agreements and communications are superseded
- Standard purchase order terms do not modify these terms
